The Vendor Contract & Participation Agreement
Weird Girl Gifts Marketplace
This Vendor Participation Agreement (“Agreement”) is entered into by and between Weird Girl Gifts
(“Platform”) and the undersigned Vendor (“Vendor”). By signing below, Vendor agrees to be bound by
the terms and conditions set forth herein.
- Marketplace Standards & Ethics
Vendor agrees to abide by the WGG Code of Ethics, specifically maintaining professional branding and
avoiding “hawker/peddler” style marketing. Vendor confirms they are a registered business entity with
valid liability insurance. - Pricing & Non-Circumvention
Pricing Parity: Vendor agrees that items listed on WGG will not be priced higher than the same items
on the Vendor’s own website or other third-party platforms.
Non-Circumvention: Vendor shall not direct WGG customers to external checkout methods to bypass
platform fees. Breach of this clause is grounds for immediate termination. - Subscription Fees & Billing
Vendor subscription fees are determined by the tier selected at the time of approval. Founding Vendor
accounts are granted a complimentary listing period with no monthly subscription fee until the Vendor’s
first completed sale on the platform. Upon the Vendor’s first sale, the monthly subscription fee of $10
will activate and be billed on a recurring monthly basis. The 8% transaction fee applies to all sales from
the first transaction, including the sale that triggers subscription activation. Rate locks begin on the date
of first payment and are valid for 6 months. WGG reserves the right to terminate complimentary listing
access for accounts with no sales activity after 6 months. This tier is limited to the first 50 approved
vendors and will close permanently once that cap is reached. - Intellectual Property & Marketing
Vendor grants WGG a non-exclusive, royalty-free, worldwide license to use Vendor’s product images
and descriptions for marketing, social media, and promotional purposes. - Spiritual & Product Disclaimers
Vendor agrees that all metaphysical products are sold as curios for entertainment purposes only.
Vendor shall make no medical, legal, or financial claims. Ingestible products (teas/tinctures/food) are
strictly prohibited. - Limitation of Liability & Indemnity
Liability Cap: WGG’s total liability to Vendor shall not exceed the total commissions paid by Vendor to
WGG in the 12 months preceding a claim. Indemnification: Vendor agrees to indemnify and hold WGG harmless from any claims, damages, or legal fees arising from Vendor’s products or interactions with customers. - Sales and Use Tax
Vendor is solely responsible for determining their own sales tax nexus obligations and for registering
with applicable state and local tax authorities where required. Vendor is responsible for collecting and
remitting all sales taxes due on transactions made through the Weird Girl Gifts platform, except in
jurisdictions where Weird Girl Gifts has assumed collection and remittance obligations as a registered
marketplace facilitator.
Weird Girl Gifts provides access to Stripe Tax through the Stripe Connect dashboard as a convenience
tool to assist vendors in meeting their tax obligations. The availability of this tool does not constitute tax
advice, and Weird Girl Gifts assumes no liability for vendor tax compliance, including any penalties,
interest, or fees resulting from a vendor’s failure to register, collect, or remit applicable taxes.
Vendor agrees to maintain accurate records of their sales activity and tax collections and to cooperate
with any reasonable request from Weird Girl Gifts related to tax compliance documentation. - Mandatory Arbitration & Class Action Waiver
Any dispute arising from this Agreement that cannot be resolved informally within 30 days shall be
settled by binding individual arbitration administered by the American Arbitration Association (AAA)
under its then-current Commercial Arbitration Rules.
Arbitration Seat & Location: All arbitration proceedings shall be conducted in Kansas City, Missouri,
unless the parties mutually agree in writing to an alternative format (e.g., remote hearing).
Class Action Waiver: Both parties expressly waive the right to a jury trial and the right to participate in
or bring a class-action lawsuit or class-wide arbitration of any kind. - Jurisdiction & Venue
For any matter not subject to arbitration, or for purposes of enforcing an arbitration award, each party
hereby irrevocably submits to the exclusive personal jurisdiction of the state and federal courts located
in Kansas City, Missouri. Vendor waives any objection to the laying of venue in such courts and waives
any claim that such courts are an inconvenient forum. - Choice of Law
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State
of Missouri, without regard to its conflict of law provisions. - Dispute Resolution: Informal Process
Prior to initiating arbitration, the parties agree to attempt good-faith informal resolution. A party wishing
to raise a dispute must provide written notice describing the nature of the dispute and the relief sought.
The parties shall have 30 days from the date of such notice to attempt informal resolution before either
party may commence arbitration.
For marketplace-level buyer-vendor disputes, the following process applies:
- Buyer opens a case with documentation (photos, messages, order details).
- Vendor responds within 3 business days.
- Platform reviews evidence and issues a determination.
- Resolutions may include: full refund, partial refund, replacement, or case closed in Vendor’s
favor. - Vendors with a pattern of valid complaints may be removed from the platform.
- Termination
WGG reserves the right to remove listings or terminate Vendor accounts at any time for breach of these
terms or conduct that harms the reputation of the marketplace.

BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ, UNDERSTAND, AND AGREE TO BE
BOUND BY THIS AGREEMENT AND THE FULL TERMS OF SERVICE.
